1. Acceptance of these terms
These Terms of Service (the “Terms”) are an agreement between you and Mylyn Labs (“Mylyn Labs,” “we,” “us,” or “our”). By accessing or using mylynlabs.com and its related pages (the “Site”), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Site and our services
The Site provides general information about Mylyn Labs and our software design, development, implementation, and related professional services. Site content is provided for informational and business-evaluation purposes only. It is not an offer, warranty, service-level commitment, or commitment to deliver any product or functionality.
Any client engagement, pilot, subscription, software license, support arrangement, data processing activity, or other service will be governed by a separate written agreement. If that agreement conflicts with these Terms, the separate agreement controls for the applicable services.
3. Healthcare and medical information
The Site is not intended for diagnosis, treatment, clinical decision-making, emergency use, or the delivery of healthcare. Nothing on the Site is medical, clinical, legal, security, or compliance advice, and no provider-patient relationship is created by your use of the Site.
Do not use the Site or its contact form to transmit protected health information (“PHI”), patient-identifiable information, medical records, or other regulated health data. Mylyn Labs will handle PHI for a client only when authorized by a separate written agreement and, where required, a fully executed business associate agreement (“BAA”). These Terms do not create a BAA or authorize either party to disclose PHI.
4. Permitted use
You may access and use the Site for lawful, internal business, informational, and evaluation purposes. You may not:
- use the Site in violation of law or another person’s rights;
- attempt to gain unauthorized access to the Site, related systems, or data;
- interfere with the Site’s operation, security, or availability;
- introduce malicious code, probe for vulnerabilities, or bypass access controls;
- misrepresent your identity or affiliation, or submit false or misleading information;
- use automated means to scrape or extract Site content except as allowed by law or with our written permission; or
- copy, modify, distribute, or commercially exploit Site content except as expressly permitted by these Terms.
5. Intellectual property
The Site and its content—including text, software, designs, graphics, logos, trademarks, and other materials—are owned by or licensed to Mylyn Labs and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended purpose.
No rights are granted by implication. “Mylyn Labs,” related names and logos, and any product names are trademarks or trade dress of Mylyn Labs or its licensors. You may not use them without prior written permission.
6. Communications and feedback
If you contact us, you represent that the information you provide is accurate and that you have the right to provide it. You authorize us to respond using the contact information you submit.
If you voluntarily provide ideas, suggestions, or other feedback about the Site or our services, you grant Mylyn Labs a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This does not transfer ownership of your confidential information or materials governed by a separate written agreement.
7. Confidentiality
The Site is public and is not a secure channel for confidential information. Information you submit through the Site will not be treated as confidential unless we have separately agreed in writing to confidentiality obligations covering that information. Do not submit trade secrets, source code, credentials, PHI, or other sensitive information through the Site.
8. Third-party services and links
The Site may rely on or link to third-party websites, platforms, or services. We do not control and are not responsible for third-party content, availability, security, or privacy practices. Your use of third-party services is governed by their own terms and policies.
9. Disclaimer of warranties
To the fullest extent permitted by law, the Site and all Site content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. Mylyn Labs disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.
We do not warrant that the Site will be uninterrupted, error-free, secure, complete, current, or free of harmful components. Any reliance on Site content is at your own risk.
10. Limitation of liability
To the fullest extent permitted by law, Mylyn Labs and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Site or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the aggregate liability of Mylyn Labs for all claims arising from or related to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
11. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Mylyn Labs and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your unlawful or unauthorized use of the Site, your violation of these Terms, or your infringement of another person’s rights.
12. Changes, suspension, and termination
We may change, suspend, or discontinue any part of the Site at any time. We may restrict or terminate your access if we reasonably believe you have violated these Terms or pose a risk to the Site, us, or others. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
13. Governing law and disputes
These Terms are governed by the laws of the U.S. state in which Mylyn Labs maintains its principal place of business, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site must be brought in the state or federal courts serving that location, and each party consents to their jurisdiction and venue. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice.
14. General terms
These Terms and the Privacy Policy are the entire agreement between you and Mylyn Labs concerning the Site. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law.
We may update these Terms by posting a revised version and changing the effective date. Your continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms.
